These Terms of Service ("Terms") govern your use of 420seo.co (the "Site") and the search engine optimization services provided by 420 SEO ("420 SEO," "we," "us," or "our"). By using the Site or engaging our services, you agree to these Terms. If you do not agree, please do not use the Site or our services.
1. Eligibility
The Site and our services are intended for licensed cannabis, hemp, and CBD businesses and their operators who are at least 21 years old. By using the Site or engaging us, you represent that you meet these requirements and that you are authorized to enter into an agreement on behalf of your business.
2. Our services
420 SEO provides search engine optimization and related digital marketing services, which may include technical SEO, content, local search and Google Business Profile work, listings and citations, review growth, link building, and AI-search visibility. The specific deliverables, scope, and fees for your engagement are set out in the proposal or written scope of work we provide to you, which forms part of the agreement between us. If there is a conflict between these Terms and a signed scope of work, the scope of work controls for that engagement.
3. No guarantee of results
Search engines and third-party platforms independently control rankings, visibility, and their own policies, and their algorithms change without notice. We do not and cannot guarantee specific rankings, traffic levels, leads, sales, or other results, and you should be cautious of anyone who does. What we commit to is the defined work, transparent reporting, and professional effort described in your scope of work.
4. Client responsibilities
- Provide timely access to your website, hosting, analytics, Google Business Profile, and other accounts reasonably needed to perform the services.
- Provide accurate information and review and approve deliverables in a reasonable timeframe.
- Ensure your business, products, website content, and marketing comply with all applicable federal, state, and local laws and regulations, including cannabis and hemp licensing and advertising rules.
- Maintain ownership of and responsibility for your own website, domain, hosting, and platform accounts.
You are solely responsible for your legal and regulatory compliance. We provide SEO services, not legal advice, and delays caused by missing access, approvals, or materials may affect timelines.
5. Fees, billing, and cancellation
Fees are described in your scope of work. Ongoing services are billed monthly in advance and are month-to-month unless otherwise agreed. Either party may cancel ongoing services with 30 days' written notice; work already performed and the current billing period are non-refundable. One-time projects (such as audits, site foundations, or menu-integration builds) are billed as stated in the applicable scope. Late or failed payments may result in paused or suspended work.
6. Ownership and your accounts
You retain ownership of your website, domain, content, and platform accounts. We do not hold your site, domain, or Google Business Profile hostage. Upon full payment, you own the deliverables produced specifically for you under your engagement. We retain ownership of our own pre-existing methods, tools, templates, and know-how, and we may use general, non-confidential learnings to improve our services. We may reference our work for you in portfolios or case studies unless you ask us in writing not to.
7. Third-party platforms
Our services rely on third-party platforms such as Google, Bing, Weedmaps, Leafly, and others. We do not control these platforms, and we are not responsible for their availability, policies, decisions, fees, or actions, including listing removals, suspensions, or algorithm changes.
8. Confidentiality
Each party agrees to protect the other's non-public business information shared during the engagement and to use it only to perform or receive the services. This does not apply to information that is public, already known, or independently developed, or that must be disclosed by law.
9. Disclaimers
The Site and services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.
10. Limitation of liability
To the fullest extent permitted by law, 420 SEO will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to the Site or services. Our total liability for any claim arising out of or related to the services will not exceed the amount you paid us for the services in the three months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless 420 SEO and its personnel from claims, damages, and expenses arising out of your business, your website or content, your use of the services, or your violation of these Terms or applicable law, including cannabis and hemp regulations.
12. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Site or services after changes take effect means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of the state in which 420 SEO operates, without regard to its conflict-of-laws rules. Any disputes will be handled in the courts located in that state, unless otherwise required by applicable law.
